The company’s regulatory institutions are Participants’ Meetings, its Council and Board.

Participants’ Meeting

The Participants’ Meeting is responsible for taking decisions in all important issues related to the company’s operation, financial indicators and areas of development including amendments to statutes, changes in stock capital, election and discharge of Council and Board members, annual report, determination of the division of profits and the size of dividends, ratification of budgets etc.

Council

The Council is the Company’s supervisory institution that represents the interests of shareholders between meetings and regulates the operation of the Board in accordance with the parameters prescribed by the law and the statutes of the company.

The Council consists of eight members that are elected by LatRosTrans SIA Latvian and Russian owners and at present its Chairman is Simon Boddy.

Board

The company’s executive institution is the Board that manages and represents the company, is responsible for the company’s commercial operation and bookkeeping that conforms to legislation, administers the company’s property and acts with its capital in accordance with the laws, the company’s statutes and decisions of the shareholders’ meeting and Council. The Board consists of one Board member who is elected for three years. At present, LatRosTrans SIA Board member is Igors Stepanovs.
